The Brazilian Department of Registration of Business and Integration (DREI) at the Ministry of Economy issued digital authentication measures that modify corporate authentication procedures applied by National Commerce Registries. It seeks to digitalize government services and accelerate corporate registration processes.



Normative instruction n. 82/2021 from the Brazilian Department of Registration of Business and Integration (DREI) at the Ministry of Economy enacted simplifying measures to the National Commerce Registry procedures related to the authentication of documents, fully implementing digital authentication. They seek to digitalize government services, accelerate procedures, and provide automatic authentication.

The digital authentication is applicable to all corporate types, including affiliated companies from foreign enterprises, as stated in its article 1. It covers all corporate documents that are authenticated by National Commerce Registries, including corporate books, corporate records whose disclosure are not mandatory, and documents presented by trade agents. Digital signatures that adhere to Law n. 14.063/2020 are accepted (see more on the 18th Edition of the Regulatory Report).

Every National Commerce Registry must adapt their systems for digital authentication within a 120-day transition period. After that period, only digital corporate books may be submitted for authentication. Some specific dispositions are also provided.

National Commerce Registries must comply with the new resolution until June 22, when the normative instruction comes into force. The normative instruction also revoked three other DREI normative instructions.
